Rani Kapur’s counsel told SC that RIPL’s move to appoint two additional directors could alter control of the company, which holds substantial share of family’s financial interests.

Sunjay Kapur died in June 2025 while playing a polo match in England, reportedly due to a heart attack triggered by an allergic reaction to a bee sting.
The Supreme Court on Thursday stayed the appointment of two independent directors to Raghuvanshi Investment Private Limited (RIPL), offering interim relief to Rani Kapur in the ongoing Kapur family dispute over business control and inheritance.
Hearing the matter, a bench led by Justice JB Pardiwala said the dispute surrounding the RK Trust, also known as the Rani Kapur Family Trust, and companies linked to Sona Comstar was already before a mediator. The court observed that “no one is in control of anything at present" and asked the family to avoid escalating tensions while mediation continues.
The bench put the proposed appointment of the two directors on hold for two months and said the matter would be reviewed after the court vacation.
Rani Kapur Alleges Attempt To Alter Control
Rani Kapur, mother of late businessman Sunjay Kapur, alleged that Priya Kapur was attempting to gain control over company finances before the mediation process could conclude.
Appearing for Rani Kapur, Senior Advocate Navin Pahwa told the court that RIPL had issued a notice for a board meeting on May 8 to appoint two additional directors. He argued that the move could alter the company’s control structure since RIPL holds a substantial portion of the family’s financial interests.
“They want to make sure that I am completely drowned out," Rani Kapur told the court.
The bench then sought a copy of the board meeting notice and asked who was currently handling the company’s affairs.
Priya Kapur’s Side Cites RBI Directive
Senior Advocate Kapil Sibal, representing Priya Kapur’s side, defended the proposed appointments and said they were necessary to comply with a Reserve Bank of India directive issued after an inspection.
“This company has been registered since 2014. The RBI conducted an inspection and directed appointment of two independent directors by May 21," Sibal said.
The court, however, indicated that it would ask the RBI not to insist on immediate compliance while mediation proceedings remain underway.
Court Says Prolonged Litigation Benefits No One
During the hearing, Justice Pardiwala repeatedly urged both sides to participate in mediation sincerely. The mediation is being conducted by former Chief Justice of India DY Chandrachud.
“Settle it amicably otherwise no one benefits from this. Do not go before the mediation with a heavy heart… each one of you try," the court said.
Justice Pardiwala also remarked, “We all came with empty hands and will leave with empty hands from this world."
Responding on a lighter note, Sibal said, “I agree we all came naked in this world… otherwise only we (lawyers) will benefit from this."
